Welcome to Zapmonc. These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "Purchaser", "Customer") and Apes N Monkeys Innovations Pvt Ltd ("Company", "We", "Us", "Our"). This document governs your access to and use of the website zapmonc.com, the Zapmonc SaaS platform, and the purchase of physical Near Field Communication (NFC) hardware products.

By accessing the platform or purchasing an NFC device, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, please refrain from using the service. 

1. DEFINITIONS AND INTERPRETATION

1.1. "Platform" refers to the Zapmonc digital infrastructure, including the web-based vCard generator, dashboard, and hosting services.

1.2. "Hardware" refers to physical NFC business cards, tags, stickers, or any other physical asset provided by the Company.

1.3. "vCard" refers to the digital professional profile hosted on our servers and accessible via a unique URL or QR code.

1.4. "SaaS" refers to Software as a Service.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

2.1. To use Zapmonc, you must be at least 18 years of age or the age of majority in your jurisdiction. By creating an account, you represent that you have the legal capacity to enter into a contract.

2.2. Users must provide accurate, current, and complete information during registration. Maintaining the confidentiality of your account credentials is your sole responsibility. Any activity occurring under your account will be attributed to you.

3. SUBSCRIPTION MODELS AND PAYMENT TERMS

3.1. Plans: We offer Monthly, Yearly, and Lifetime access models. Each plan confers specific rights to digital profile hosting and feature access.

3.2. Billing: Payments are processed via third-party gateways (Stripe/Razorpay). By providing payment details, you authorize us to charge the applicable fees. All fees are inclusive of statutory taxes unless otherwise stated.

3.3. Lifetime Access: "Lifetime" refers to the operational life of the Zapmonc platform. Should the platform be decommissioned, lifetime users will be provided with a 6-month notice and a downloadable archive of their data.

4. USER-GENERATED CONTENT (vCard CONTENT)

4.1. Ownership: You retain all ownership rights to the content you upload to your vCard (photos, logos, bios, links).

4.2. Responsibility: The Company does not pre-screen all content; however, the Purchaser is solely responsible for the legality and accuracy of their information.

4.3. Prohibited Content: You may not use Zapmonc to host: Content that is defamatory, obscene, or pornographic. Content that infringes on third-party intellectual property or privacy rights. Links to malware, phishing sites, or illegal marketplaces. Hate speech or content promoting discrimination.

4.4. Monitoring: We reserve the right to monitor vCards rigorously. We may, at our sole discretion, block or delete any vCard that violates these terms without prior notice.

5. PHYSICAL HARDWARE (NFC CARDS)

5.1. Manufacturing: Physical NFC cards are customized based on user-provided designs. Once a design is approved or submitted, changes may not be possible.

5.2. Technical Limitation: While we use high-quality NTAG213/215/216 chips, NFC functionality is dependent on the recipient's device compatibility. We are not responsible for older devices that lack NFC readers.

6. SERVICE LEVEL AGREEMENT (SLA)

6.1. Uptime Commitment: We aim for a 99.9% monthly uptime for the digital hosting of vCards.

6.2. Maintenance: Scheduled maintenance will occur between 02:00 AM – 04:00 AM IST on Sundays. During this time, the platform may be briefly unavailable.

6.3. Support:

Issue Severity - Response Target

Critical (Digital Card Offline) - 4 Business Hours

Standard (Account Queries) - 24 to 48 Business Hours

7. INTELLECTUAL PROPERTY RIGHTS

7.1. All software, code, UI design, and brand assets associated with "Zapmonc" and "Apes N Monkeys Innovations" are the exclusive property of the Company.

7.2. You are granted a limited, non-exclusive, non-transferable license to use the platform for professional networking purposes only.

8. INDEMNIFICATION

You agree to indemnify and hold harmless Apes N Monkeys Innovations Pvt Ltd, its directors, and employees from any claims, damages, or expenses (including legal fees) arising from your breach of these Terms or your use of the vCard platform to transmit illegal content.

9. LIMITATION OF LIABILITY

To the maximum extent permitted by Indian Law, the Company shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or business opportunities, resulting from the use or inability to use the platform.

10. TERMINATION

10.1. By User: You may cancel your subscription at any time via the dashboard.

10.2. By Company: We may terminate your access for non-payment, breach of terms, or if required by law. Upon termination, your vCard URL will become inactive.

11. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement is governed by the laws of the Republic of India and the Information Technology Act, 2000. Any disputes arising shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana.

12. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. Significant changes will be communicated via email or a platform notification. Continued use after changes constitutes acceptance.

This document serves as the Master Service Agreement for Zapmonc. Additional policies (Privacy, Refund) apply concurrently.
